These Terms of Use govern your access to and use of this website, its content, products, services, consultations, mentorship programs, subscriptions, communities, and other offerings provided by Dwayne M Cyrus ("I," "me," or "my").
By accessing this website, purchasing a product or service, booking a session, subscribing to a paid offering, or otherwise using my services, you agree to these Terms.
If you do not agree with these Terms, do not use the website or purchase my products or services.
1. Nature of My Services
I provide educational, advisory, consulting, mentoring, and personal-development services and content.
My services may include:
- written and video content;
- assessments and scorecards;
- diagnostic consultations;
- private mentorship;
- digital products;
- newsletters;
- paid memberships or patronage;
- private communities;
- livestreams and educational sessions.
Specific features, availability, pricing, scope, and delivery methods may change from time to time.
2. No Medical or Mental Health Treatment
My services are educational and developmental in nature.
I do not provide medical care, psychotherapy, psychiatric treatment, crisis intervention, diagnosis of mental illness, or other licensed healthcare services.
Nothing on this website or provided through my services should be treated as a substitute for professional medical, psychological, psychiatric, legal, financial, or other licensed professional advice.
If you are experiencing an emergency or believe you may harm yourself or another person, contact emergency services or an appropriate qualified professional in your location immediately.
3. No Guaranteed Results
I may provide advice, observations, frameworks, recommendations, and mentorship intended to help you make better decisions and take effective action.
Your results depend on many factors outside my control.
I do not guarantee any particular personal, professional, financial, relational, psychological, or other outcome from using my services.
You remain responsible for your own decisions, conduct, actions, and results.
4. Eligibility
You must be at least 18 years old to purchase my paid services unless I expressly agree otherwise in writing.
By purchasing from me, you represent that:
- you are legally capable of entering into an agreement;
- the information you provide is accurate;
- you are authorized to use the payment method submitted.
5. Payments
Prices are displayed before purchase and may be changed for future purchases at any time.
You agree to pay all charges associated with the product or service you purchase.
Payments may be processed through third-party payment providers such as Stripe, Gumroad, Buttondown, or other platforms.
Their separate terms, privacy policies, and payment-processing rules may also apply to your transaction.
6. Diagnostic Audit
The Diagnostic Audit is currently offered for $200 USD unless another price is clearly presented at checkout.
The service may include:
- a pre-call assessment or scorecard;
- approximately 50 minutes of private consultation;
- analysis of your circumstances;
- personalized observations and recommendations;
- a written diagnostic report or recommendation where included.
Fulfillment
After payment, you will receive instructions for completing any required assessment and scheduling your session.
You are responsible for:
- providing accurate information;
- completing required preparation;
- booking an available appointment;
- attending the session at the scheduled time.
The Diagnostic Audit is considered fulfilled once the scheduled consultation and any expressly included follow-up materials have been provided.
Diagnostic Audit Rescheduling Policy
The following rescheduling terms apply specifically to the Diagnostic Audit.
You may reschedule your Diagnostic Audit without charge by providing at least 48 hours' notice before the scheduled start time.
If you request to reschedule with less than 48 hours' notice, an $80 USD rescheduling fee must be paid before a replacement appointment can be booked.
Payment of the rescheduling fee permits one replacement appointment.
The replacement Diagnostic Audit must be completed within 7 calendar days of the originally scheduled appointment.
If the replacement Diagnostic Audit is not completed within that 7-day period, the original booking and rescheduling credit expire. To schedule another Diagnostic Audit, you must make a new booking and pay the full Diagnostic Audit price in effect at that time.
A replacement appointment booked under the $80 rescheduling option may not be rescheduled again under the same option unless I expressly agree otherwise.
No-Shows
If you fail to attend your scheduled Diagnostic Audit without notice, the session will be considered a no-show and the Diagnostic Audit fee will be forfeited.
A new Diagnostic Audit must then be booked at the full price in effect at that time unless I expressly agree otherwise.
Late Arrival
If you arrive late, the Diagnostic Audit may still end at its originally scheduled time.
Additional time is not guaranteed.
Rescheduling by Me
If I need to reschedule or cancel your Diagnostic Audit, no rescheduling fee will apply and you will be offered a reasonable alternative appointment.
I may waive or modify these requirements in exceptional circumstances at my discretion.
Mentorship Recommendation
Purchasing or completing a Diagnostic Audit does not guarantee admission into private mentorship.
Where appropriate, mentorship may be recommended or offered following the Diagnostic Audit.
7. Private Mentorship
My current private mentorship offering is a four-month private 1:1 mentorship priced at $8,000 USD, or four payments of $2,000 USD, unless different terms are expressly presented or agreed in writing.
Admission may be subject to suitability and availability.
Specific details regarding:
- session frequency;
- communication methods;
- availability;
- scheduling;
- rescheduling;
- client responsibilities;
- boundaries;
- delivery;
may be provided separately during enrollment or onboarding and form part of your agreement with me.
Payment Plans
A payment plan divides the total purchase price into installments.
It is not a monthly subscription that may automatically be cancelled after any individual payment.
By selecting a payment plan, you agree to pay the complete purchase price unless otherwise agreed by me in writing or required by applicable law.
Failure to make an installment payment may result in suspension or termination of access to mentorship services.
8. Digital Products
Digital products may include ebooks, guides, recordings, documents, courses, workshops, or other downloadable or online materials.
Digital products are generally delivered electronically following successful payment.
You are responsible for:
- supplying an accurate email address;
- maintaining access to your email or account;
- downloading or accessing materials made available to you.
Unless otherwise stated, purchasing a digital product grants you a limited, personal, non-exclusive, non-transferable license to use it for your own personal purposes.
You may not reproduce, distribute, resell, publish, share, upload, license, or commercially exploit my digital products without written permission.
9. Memberships and Patronage
Some offerings may involve recurring payments, memberships, patronage, private content, communities, supporter benefits, or other ongoing access.
Where a recurring subscription is offered:
- the billing interval and price will be disclosed before purchase;
- payment will continue at the stated interval until cancelled;
- cancellation stops future renewal charges;
- cancellation does not ordinarily create a refund for a billing period that has already begun.
Specific benefits may evolve, change, be replaced, or be discontinued over time.
Unless expressly stated otherwise, memberships or patronage do not represent:
- an ownership interest in my business;
- an investment;
- equity;
- a charitable donation;
- a right to influence business decisions.
10. Refunds
Except where otherwise stated at the point of purchase or required by applicable law, payments are generally non-refundable once fulfillment has begun.
This includes situations where:
- a consultation has taken place;
- personalized analysis has begun;
- mentorship services have begun;
- digital products have been delivered or accessed;
- paid membership access has been provided.
The specific 48-hour notice requirement, $80 rescheduling fee, and 7-day replacement period apply only to the Diagnostic Audit unless expressly stated otherwise for another service.
If I am unable to provide a service you purchased and no reasonable alternative can be arranged, I may provide a refund for the unfulfilled portion.
Nothing in these Terms limits any consumer rights that cannot legally be excluded.
11. Scheduling for Other Services
Scheduling, cancellation, rescheduling, attendance, and missed-session policies for services other than the Diagnostic Audit may differ.
Any service-specific terms presented during:
- checkout;
- booking;
- enrollment;
- onboarding;
- a service agreement;
form part of your agreement with me.
The Diagnostic Audit rescheduling policy in Section 6 should not be assumed to apply to mentorship sessions or any other service.
12. Communications
By providing your email address or other contact information in connection with a purchase, assessment, booking, membership, or account, you agree that I may send transactional communications necessary to provide the service.
These may include:
- receipts;
- booking confirmations;
- reminders;
- scheduling information;
- service updates;
- account information;
- delivery instructions.
Marketing communications are handled separately and may be unsubscribed from where applicable.
13. Community Conduct
If you participate in a private group, community, livestream, discussion, or other interactive area, you agree not to:
- harass, threaten, or abuse others;
- publish another person's private information;
- impersonate another person;
- distribute unlawful material;
- spam, solicit, or promote products without permission;
- deliberately disrupt the community or its intended purpose.
I may remove content, restrict access, or terminate community participation where I reasonably believe these standards have been violated.
14. Intellectual Property
Unless otherwise stated, all original content provided through this website or my services is owned by or licensed to me.
This may include:
- written material;
- frameworks;
- assessments;
- scorecards;
- reports;
- videos;
- audio;
- graphics;
- artwork;
- branding;
- educational materials;
- downloadable products.
You may use purchased or freely provided materials for your own personal use.
You may not copy, reproduce, republish, distribute, sell, modify, create derivative commercial products from, or publicly display my materials without permission except where permitted by law.
15. Client Materials and Confidentiality
Information shared during private consultations or mentorship will be treated with reasonable discretion.
You should not send:
- passwords;
- financial account credentials;
- unnecessary identity documents;
- other highly sensitive information that is not required for the service.
I may use anonymized themes, questions, observations, patterns, or lessons arising from my work for educational, research, content, or business purposes, provided they do not reasonably identify you.
Any use of identifiable testimonials, recordings, case studies, names, images, or personal stories will require appropriate permission.
16. Recordings
I will not publicly publish identifiable recordings of private consultations or mentorship sessions without appropriate permission.
Where a livestream, public discussion, interview, call-in program, or recorded event is expressly presented as being recorded or published, participation may be subject to separate recording or release terms disclosed at the time.
17. Third-Party Services
My website and services may use or link to third-party platforms, including:
- payment processors;
- scheduling platforms;
- email providers;
- video platforms;
- community platforms;
- analytics providers;
- hosting services.
I am not responsible for the availability, security, policies, content, or conduct of third-party services.
Your use of those platforms may also be subject to their own terms and policies.
18. Website Availability
I may modify, suspend, discontinue, replace, or update any part of the website or its free content at any time.
I do not guarantee that the website will always be available, uninterrupted, secure, or error-free.
Where you have purchased a specific paid service, I remain responsible for providing that service in accordance with the applicable purchase terms and law.
19. Refusal or Termination of Service
I reserve the right to refuse, suspend, or terminate service where reasonably necessary, including for:
- abusive or threatening behavior;
- non-payment;
- fraud or misuse;
- repeated violation of boundaries;
- unlawful activity;
- misuse of my intellectual property;
- conduct that substantially interferes with my ability to provide the service.
Where appropriate, any remaining financial obligations or refund rights will be handled according to these Terms and applicable law.
20. Limitation of Liability
To the fullest extent permitted by law, I will not be liable for indirect, incidental, consequential, special, or punitive losses arising from your use of this website, its content, or my services.
Where liability cannot legally be excluded, my liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded.
21. Indemnification
To the extent permitted by law, you agree to be responsible for losses, claims, damages, liabilities, or expenses arising from your unlawful misuse of my website, content, intellectual property, or services.
22. Privacy
My handling of personal information is governed by my separate Privacy Policy.
The Privacy Policy should be read together with these Terms.
23. Changes to These Terms
I may update these Terms from time to time.
The current version will be published on this page with its latest revision date.
Changes apply prospectively unless applicable law requires otherwise.
Terms applicable to an existing paid engagement will not be materially changed retroactively without appropriate notice or agreement where required.
24. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law principles, except where mandatory consumer-protection laws provide otherwise.
Subject to any mandatory jurisdiction rights granted by applicable law, disputes relating to these Terms or my services will be subject to the competent courts of Basel-Stadt, Switzerland.
25. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
26. Entire Agreement
These Terms, together with any applicable service-specific terms, checkout terms, booking policies, enrollment agreements, and my Privacy Policy, constitute the agreement governing your use and purchase of my services.
Where specific written terms for a particular service conflict with these general Terms, the service-specific terms will control for that service.
